Opportunity Overview
The Armaments Corporation Of South Africa (ARMSCOR) is seeking a dedicated Deputy Company Secretary to join their team at the Armscor Head Office. This vital role provides comprehensive advice and operational support to the Company Secretary office.

Minimum Requirements
To be considered for this opportunity, applicants must meet the following criteria:
- Qualifications:
- An Honours Degree in Business, Law, or Commerce.
- A relevant Chartered Secretary/Company Secretarial qualification with professional membership/accreditation through a professional body (e.g., CSSA/ICSA), OR an LLB qualification with admission as an Attorney of the High Court of South Africa.
- Experience:
- At least 5 years of relevant experience in a Company Secretarial function, with a preference for experience within a public entity, state-owned company, or large corporate.
- Proven experience in servicing Board and Committee meetings, including minute-taking and agenda preparation.
- Demonstrated knowledge of the Companies Act, King Report on Corporate Governance, Public Finance Management Act (PFMA), and related regulatory frameworks.
Key Responsibilities
The Deputy Company Secretary will be responsible for a range of critical duties, including:
- Delivering comprehensive Company Secretarial services to the Board and Committees.
- Preparing agendas aligned with Board priorities and strategic objectives.
- Developing, collating, and distributing comprehensive Board packs.
- Recording accurate minutes and resolutions from meetings.
- Tracking and following up on actions arising from meetings to closure.
- Providing corporate governance advisory services, including advice on the Companies Act, King V, and PFMA.
- Supporting the interpretation of legislation for operational and compliance purposes.
- Ensuring Board and Armscor’s activities comply with constitutions, standing orders, and best practice standards.
- Managing Board and Committee servicing, records, and follow-up actions.
- Maintaining accurate Board/Committee records, statutory registers, and rolling action logs.
- Supporting annual and extraordinary general meetings.
- Acting as the primary point of contact for Chairs, Board members, and Executives.
- Supporting the preparation and submission of Annual Reports and statutory returns.
