Opportunity Overview
The Ekurhuleni Water Care Company (ERWAT) is inviting applications for a permanent Board and Committee Secretariat Officer position based in Kempton Park, Gauteng. The successful candidate will be responsible for coordinating Board and Committee administration, ensuring strict compliance with all applicable legislation, King IV corporate governance requirements, and statutory obligations. Key Responsibilities
- Develop and maintain a robust filing system in line with company standards.
- Receive and attend to client requests according to organisational procedures.
- Assist with statutory audits to ensure compliance with relevant legislation.
- Prioritise workload and meet all established deadlines.
- Set up and manage agreed communication systems and protocols.
- Type letters, memorandums, and presentations, including ad hoc and routine reports.
- Coordinate Board and Committee meetings and consolidate reports and meeting packs.
- Prepare and circulate agendas within statutory timeframes.
- Take accurate records of meetings and prepare minutes within agreed timeframes, then record, archive, and circulate them.
- Draft meeting notices according to organisational timeframes and legal obligations.
- Ensure confidentiality on sensitive matters, adhering to legislative and best practice models.
- Follow standard operating procedures and liaise with internal and external auditors on statutory information.
- Ensure Board and Committee charters and terms of reference are kept up to date.
- Lodge incoming and outgoing Directors' details with the Companies and Intellectual Property Commission (CIPC).
- Obtain appropriate responses and feedback on agenda items and matters arising from previous meetings.
- Monitor and coordinate the scheduling of Board and Committee meetings to meet King IV minimum annual meeting requirements.
- Ensure compliance with the Memorandum of Incorporation, Board and Committee Charters, and municipal governance frameworks.
- Prepare and distribute board packs, notices, agendas, minutes, and standardised reports.
- Maintain statutory registers and submit statutory returns accurately and on time.
- Implement and monitor Board resolutions and ensure compliance with governance frameworks and legislative requirements.
- Ensure accuracy and completeness of governance records.
- Monitor and interpret South African Laws and regulations applicable to the company (e.g., Companies Act, Labour Law, environmental, and industry-specific requirements).
- Ensure compliance policies are up to date and aligned with current legislation.
- Serve as the point of contact for relevant regulatory bodies and ensure timely submissions and responses.
- Perform ethics management tasks.
