Opportunity Overview
The Department of Communications and Digital Technologies is seeking a dedicated individual for a permanent position as Director: State-Owned Entities Governance. This role is based in Pretoria, Hatfield, and is central to managing, coordinating, and providing comprehensive corporate governance and oversight services for State-Owned Entities (SOEs).
The successful candidate will play a vital role in ensuring effective governance across various public entities. This important position offers an all-inclusive remuneration package of R1,317,384 per annum.
Minimum Requirements
- An NQF Level 7 degree in Auditing, Law, Accounting, Corporate Governance, or an equivalent qualification recognised by the South African Qualifications Authority (SAQA).
- Five (5) years of experience at a Middle or Senior Management level in Enterprise or SOE corporate governance oversight services within organisations or public entities.
- A Postgraduate qualification in Corporate Governance will serve as an added advantage.
- Skills and Competencies:
- Core: Strategic Capability and Leadership, Government Administrative Processes, People Management and Empowerment, Programme and Project Management, Financial Management, Service Delivery Innovation, Problem Solving and Analysis, Client Orientation, Customer-focused Communication.
- Technical: Knowledge of the Public Finance Management Act and Treasury Regulations, Companies Act 2008, and the King IV Report on Corporate Governance in South Africa. Ability to review and analyse governance documents/frameworks/processes/submissions, interpret Governance Legislation and Policy Frameworks, review and assess compliance with policies/laws, conduct basic research, apply analytical thinking, and write reports.
Key Responsibilities
- Manage and drive the development, review, and implementation of the Departmental shareholder governance framework.
- Manage and monitor shareholder governance instruments applicable to assigned entities, including shareholder compacts, governance agreements, and Memoranda of Incorporation.
- Manage assessments of governance performance and compliance of SOEs with shareholder compacts, governance agreements, and other governance instruments.
- Manage the assessment of board governance, board, committee, and executive evaluations, along with the implementation of approved governance improvement plans.
- Manage the Board appointment and remuneration process, analyse executive appointment submissions from assigned entities, and prepare recommendations for Ministerial consideration.
- Coordinate and facilitate the Minister’s participation in SOE-related governance structures, including annual general meetings and Minister-Board quarterly forum meetings.
- Analyse SOE annual reports and other reports submitted for meetings, and manage the tabling of SOE annual reports.
- Manage oversight of interventions arising from audit findings within assigned entities, including assessing audit implications.
