The National Empowerment Fund (NEF) is seeking a Legal Advisor: Commercial to join its Legal team on a 6-month Fixed-Term Contract. This role is crucial for providing expert legal support within NEF, specifically as part of the deal structuring team.

The successful candidate will be responsible for delivering statutory, reporting, and legal advisory services aligned with business needs, focusing on creating legal solutions that reduce risks in various transactions, including franchise and contract finance.

Minimum Requirements

  • Qualification: LLB degree, admitted attorney with at least 3 years of post-article experience.
  • Experience:
  • At least 3 – 5 years of job-related corporate and commercial law and banking and finance principles.
  • Experience in legal due diligence.
  • Knowledge:
  • Working knowledge of various computer programmes including Power Point, MS Word, Excel, and Outlook.
  • In-depth knowledge of laws and legal processes relevant to NEF's core business (primarily Corporate Finance, Structured Finance, and Investment Banking).
  • Working knowledge of other areas of law, including Tax, Companies Act, Insolvency, and Labour Law.
  • Working knowledge of finance.

Key Responsibilities

  • Provide prompt and sound legal advice and support to the NEF, particularly the Fund Management Division.
  • Form part of the investment team and consult regularly on proposed structures, developments, and legal implications.
  • Attend and perform legal due diligence assessments on deals related to NEF’s investments.
  • Identify legal risks and recommend mitigation methods for NEF’s investments.
  • Provide legal input to submission papers prepared for Investment Committee(s).
  • Draft, vet, and negotiate a range of commercial agreements (e.g., loan agreements, sale of shares, sale of business, security documents) in line with NEF’s funding terms and conditions.
  • Ensure agreements are legally accurate, in accordance with the term sheet and Investment Committee approval.
  • Ensure agreements are in line with the latest legal developments.
  • Manage costs and budget for externally carried out legal work.

What the Work Involves

The Legal Advisor will primarily provide crucial legal guidance to the NEF's Fund Management Division, integrating directly into the investment team. Daily tasks will include consulting on legal implications of proposed deal structures, conducting legal due diligence on potential investments, and identifying associated risks to recommend mitigation strategies.

A significant part of the role involves preparing legal input for Investment Committee papers, as well as drafting, vetting, and negotiating various commercial agreements such as loan agreements, sale of shares, and security documents. The incumbent will ensure all agreements strictly adhere to NEF's funding terms, conditions, and the latest legal developments, operating from an office environment in Sandton.
